The Shareholder Declaration for Hydro Ottawa Holding Inc. (Hydro Ottawa) approved by City Council requires that members of the Board of Directors for Hydro Ottawa Holding Inc. and its wholly-owned subsidiaries (including Hydro Ottawa Limited) be appointed by the City of Ottawa.
On June 27, 2006, upon the restructuring of the Hydro Ottawa Board of Directors to comply with the Affiliate Relationships Code for Electricity Distributors and Transmitters issued by the Ontario Energy Board that mandated a separate board be created for the local distribution company, City Council appointed a number of directors to both boards (Hydro Ottawa Holding Inc. and Hydro Ottawa Limited) for terms ranging from two to four years. As director terms have expired since that time, City Council has approved subsequent appointments ranging from one to three years.
Profiles of the members of the Hydro Ottawa Holding Inc. Board of Directors are provided below.
Jim Durrell, C.M., ICD.D, Chair, has served on the Board of Directors of Hydro Ottawa Holding Inc. since July 2012. In July 2013 he was also appointed to the Board of Directors of Hydro Ottawa Limited and subsequently elected Chair of both Boards. He is best-known for the significant contribution that he made as Ottawa’s mayor from 1985 until retiring from public life in 1991. After leaving public office, he was active in the private sector as a successful business executive until his retirement in December 2018. He is the former owner and President of Capital Dodge Chrysler Jeep. He has had a long time involvement with Ottawa sports franchises including the Ottawa Senators NHL organization and the CFL’s Ottawa Rough Riders. He has served as a governor of Canada’s Sports Hall of Fame, as President of the Ottawa Sports Hall of Fame, and on the board of the Canada Centre of Ethics in Sport.
Mr. Durrell brings extensive governance experience having served on the Board of Directors of the Business Development Bank of Canada and as the Chair of the Ottawa International Airport’s Board of Directors. He continues to volunteer his time and enthusiasm to numerous charities and organizations in the Ottawa community, such as the Board of Governors of Carleton University, the Ottawa Hospital, the United Way/Centraide Ottawa Campaign Cabinet, the Salvation Army and the Kiwanis Club of Ottawa for over 30 years. In October 2006, he was appointed Chairman of the Ottawa Convention Centre and in July 2011 was appointed by the Provincial Government to serve as Vice-Chair of the Police Services Board.
In December 2012, Mr. Durrell was appointed a Member of the Order of Canada for his decades-long contributions to the City of Ottawa, as a businessman, mayor and committed volunteer. Also in 2012, Mr. Durrell was awarded the Ottawa Chamber of Commerce’s inaugural Lifetime Achievement Award, the Queen Elizabeth II Diamond Jubilee Medal, and the Order of Ottawa. In 2015 Mr. Durrell was the recipient of the Governor General’s Caring Canadian Award (Sovereign’s Medal for Volunteers), and in 2016 was awarded the Lifetime Achievement Award with Volunteer Ottawa.
Bryce Conrad has served as President and Chief Executive Officer of Hydro Ottawa since 2011. Under his leadership, Hydro Ottawa has become one of the most profitable, innovative and customer-oriented utilities in Canada, regularly winning awards and accolades for customer service and innovation. In addition, Hydro Ottawa has tripled its renewable generation, making it the largest municipally owned generator of clean, green energy in Ontario.
Prior to joining Hydro Ottawa, Bryce served as Assistant Deputy Minister - Program Operations at Infrastructure Canada, where he managed the implementation of the $4 billion Infrastructure Stimulus Fund, overseeing the selection and management of 4,000 projects that created more than $10 billion in economic activity. He was also responsible for the oversight and administration of the Building Canada Fund, the Green Infrastructure Fund and the Gas Tax agreements with provinces and municipalities.
An active community champion, Bryce sits on the Board of Directors for The Ottawa Hospital Foundation, and has served on the Board of Directors for United Way/Centraide Ottawa since 2014.
Bryce has extensive governance experience, serving on the Board of Directors for industry associations including the Canadian Electricity Association, Ontario Energy Association, Institute on Governance, Electricity Distributors Association and The MEARIE Group.
Bryce is fluently bilingual, and holds a Bachelor of Arts (Honours) from Queen's University, a Master of Public Administration from Carleton University, and a Master of Business Administration from the University of Ottawa.
Yaprak Baltacioglu MA, LL.B, IAS.A. was appointed to the Hydro Ottawa Holding Inc. Board effective July 1, 2018. Her distinguished public service career spans more than 25 years in roles of increasing responsibility within the federal government, and she has shaped policy, overseen programs and operations, led transformation, contributed on many senior committees, and had an impact on the direction of government affairs at the highest levels of decision making.
Retiring from public service in April 2018, Yaprak was one of Ottawa’s most seasoned deputy ministers and served as a trusted advisor to four Prime Ministers and numerous ministers, Cabinets and departmental officials on programs, issues, legislation and matters of policy focused on the economy, treasury, transportation, infrastructure, security, agriculture, healthcare, and the environment.
Leveraging an extensive network of government officials and leaders of business, industry, and advocacy groups, Yaprak is a trusted advisor with expert knowledge of the workings of government, including its principles for sound governance and government-wide policy direction in areas including human resources, financial management, and IT. She currently serves on the board of the Institute of Corporate Directors and teaches master level Leadership courses at the University of Toronto’s School of Public Policy & Governance.
Yaprak holds a Bachelor of Laws from Istanbul University, an ICD.D Designation (Institute of Corporate Directors) from the Rotman School of Management at the University of Toronto, as well as a Master of Arts from the Carleton University School of Public Administration, an institution which honoured her with a Bissett Alumni Award for Distinctive Contributions to the Public Sector in 2015.
Kim Butler, CPA, CMA, ICD.D. was appointed to the Hydro Ottawa Holding Inc. Board of Directors effective July 1, 2018. With more than 25 years of executive financial and operational experience with Canadian and multinational organizations, Kim has demonstrated extensive accomplishments in areas of financial management, corporate financing, strategic planning, acquisitions, operations, and investor relations. In addition to her current position as Chief Financial Officer (CFO) at CENX Inc., a leading provider of service assurance solutions, she has served as interim CEO at both CENX and Benbria, an enterprise software company. In her role as SVP Finance and CFO at Bridgewater Systems, a global leader in mobile policy solutions, Kim led the company’s initial public offering in 2007, and delivered shareholder value with the successful sale of Bridgewater to Amdocs in 2011. Prior to Bridgewater, Kim held senior finance roles at Asea Brown Boveri, and Mitel Corporation.
Kim is a member of the Board and Chair of the Finance and Audit Committee for Canada Health Infoway, a member of the Executive Committee of the Ottawa Chapter of the Institute of Corporate Directors, and Regional Ambassador for Women Get on Board. She has previously served as Board member and Chair of the Finance Committee for the Queensway Carleton Hospital Foundation, and is a past member of the Industry Advisory Committee for Entrepreneurship at Algonquin College in Ottawa.
Dale Craig, P. Eng. ICD.D is President of Dale Craig & Associates Limited, a consulting firm which provides guidance on construction dispute resolution and advisory services on the management of major construction projects. He retired in 2014 after 43 years with J.L. Richards & Associates Limited, a 250 person Engineering/Architectural/Planning firm headquartered in Ottawa, after serving his last 24 years in executive roles as Chairman, President and CEO. He led JLR's major business development initiatives, was responsible for the management of key client and partner relations and organized project teams, presentations and contract negotiations. Along with his corporate duties and mentoring role, he maintained direct involvement in the management of complex major assignments to ensure that client needs and project objectives were met. Mr. Craig has decades of experience managing multidisciplinary teams on projects up to $500M in value which typically involved all engineering disciplines, architecture, planning, project management and specialty consultants. He was Engineering Counsel to the Commission of Inquiry into the collapse of the Algo Centre Mall in Elliot Lake.
Mr. Craig has maintained an active involvement in the business community and in the consulting engineering industry throughout his career. He is currently on the Hydro Ottawa Holding Inc. Board, serving as Chair of the Strategic Investment Oversight Committee and a member of the Governance and Management Resources Committee. He is also on the Board of Governors of Carleton University where he is Chair of the Building Program Committee and a member of the Executive Committee and served on both the Audit and Finance Committees. He also sat on the Civil and Environmental Engineering Advisory Committee.
Mr. Craig currently sits on an Advisory Board for PB Infrastructure Services and has just completed his term on the Board of CPCS Transcom where he sat on their Governance, Audit, Compensation and Succession Committees.
Mr. Craig previously served two terms on the Board of the Ottawa Convention Centre, sitting on the Executive Committee and acting as Chair of their Redevelopment Committee, which successfully orchestrated the construction of a new, state-of-the-art $190M convention centre for Canada's Capital. He is a past member of the Board of Hydro Ottawa Holding Inc. where he served as Chair of the Energy Ottawa Committee.
He was previously Chair of the Engineering Division of the Ottawa United Way; Chair of the Consulting Engineers of Ontario; Vice Chair of the Association of Canadian Engineering Companies (two terms); Founding Patron of the Canadian Institute for Conflict Resolution; and a Founding Member of the National Steering Committee on Innovation in Construction.
In 2013, he was awarded a Queen Elizabeth II Diamond Jubilee Medal in recognition of his service to Canada and in 2015 was honoured with the prestigious Beaubien Award from the Association of Canadian Engineering Companies. In 2015, he earned the ICD.D designation from the Institute of Corporate Directors.
Mr. Craig was reappointed to the Board of Hydro Ottawa Holding Inc. on October 1, 2013.
Matt Davies, CPA, CMA, CISM, CCISO, C.DIR. Matt is a management consultant and director. He previously led Ciena’s global IT Risk Management and Cybersecurity team. Ciena is a network strategy and technology company. Prior to joining Ciena, Matt held leadership positions at Akara Corporation and Deloitte. Matt possesses outstanding business acumen and has extensive experience in the areas of Strategy, Information Technology/Cybersecurity, Risk Management, and Mergers and Acquisitions. Matt has also authored articles, delivered webinars, and served as a panel member speaking on strategy, digital disruption, current and emerging technologies and cybersecurity.
Matt is a Chartered Professional Accountant (CPA), a Chartered Director (Codi.) and has obtained both the Certified Information Security Manager (CISM) and Certified Chief Information Security Officer (CCISO) designations. Matt is a graduate of the University of Ottawa and has completed Executive Education Programs at the Tuck School of Business and the Wharton School of the University of Pennsylvania. He has also completed the NACD’s Cyber-Risk Oversight program earning the CERT Certificate in Cybersecurity Oversight issued by the Software Engineering Institute at Carnegie Mellon University.Matt was appointed to the Hydro Ottawa Holding Inc. Board on July 1, 2018, where he also serves on the Governance and Management Resources and the Investment Review Committees. Matt also serves on the University of Ottawa Heart Institute Foundation Board and is also a member of its Governance Committee and the Joint-Information Technology Committee.
Jan Harder has spent 21 years serving the residents of Barrhaven as their municipal representative. She often states that for the majority of her life she has been, and continues to be, employed in the customer service industry.
Jan was a successful business professional prior to being elected in 1997 to the former City of Nepean council, and is now a recognized leader on council who has been proud to call Barrhaven home for 35 years.
Jan is known as a city builder and champion and has helped Barrhaven and Ottawa grow by working with local and national business leaders as well as City staff to secure the necessary infrastructure to support such growth. Jan believes the best way to build Ottawa is to balance growth while maintaining a high quality of life.
Jan is chair of the Planning Committee for the City of Ottawa. She also serves on the Finance and Economic Development Committee.
Jan is married to Larry, has five daughters and has been blessed with nine grandchildren so far.
Andrea Johnson was appointed to the Hydro Ottawa Holding Inc. Board effective July 1, 2015. She is a lawyer and partner with Dentons Canada LLP. Her practice focuses on corporate law, securities law, and mergers and acquisitions, with a focus on the technology sector and high growth companies. Her areas of expertise include corporate finance including initial public offerings, corporate governance, equity compensation, and private equity transactions/LBOs. She is Corporate Secretary of Kinaxis Inc. (TSX: KXS) and DragonWave Inc. (TSX: DWI; NASDAQ: DRWI), and currently serves on the Exempt Market Advisory Committee of the Ontario Securities Commission and the Listing Advisory Committee of the Toronto Stock Exchange. Andrea has received numerous recognitions for her work, including being recognized in the Legal 500 Canada in the area of Corporate and M&A; Best Lawyers in Canada 2015 as a leading lawyer in Corporate Law, Securities Law and Technology Law; and The Canadian Legal Lexpert Directory 2013 and 2014 as one of Canada's repeatedly recommended lawyers in the areas of Corporate Finance & Securities and Technology Transactions. Andrea has also served on numerous non-profit boards in the Ottawa community, including the Indo-Canada Ottawa Business Chamber and acting as Chair of the Garderie Bernadette Child Care Centre. Andrea is a graduate of Carleton University (B.A. Hons.) and Dalhousie University (L.L.B.).
Cyril M. Leeder, FCPA, FCA, ICD.D, was appointed to the Hydro Ottawa Holding Inc. Board on July 1, 2017. He is one of the original founders of the Ottawa Senators Hockey Club and was with the team for 27 years in various capacities including most recently as COO and President of the Club.
Cyril graduated from McMaster University with a bachelor of commerce degree, and obtained his chartered professional accountant’s designation with Clarkson Gordon (now EY) in Ottawa. He was elected as a Fellow of the Institute of Chartered Professional Accountants of Ontario in July 2009, the highest designation within the Institute.
Cyril is a passionate community advocate and supporter and sits on the Board of the Ottawa Chamber of Commerce, Ottawa 2017 Celebrations Inc., the Ottawa Tourism Development Council, Algonquin College Sport Management School Advisory Board, Ottawa Community Ice Partnership Board and will serve his 19th tenure as chairman of the Bell Capital Cup hockey tournament recognized by the Guinness Book of Records as the world’s largest ice hockey tournament. He has also played significant roles in the redevelopment of the Ottawa Convention Centre (Shaw Centre), the Ottawa Senators Foundation and the National Arts Centre Marketing Committee.
Cyril’s community service has been recognized through a number of awards including the Ottawa Chamber of Commerce 2008 Business Person of the Year Award, the Max Keeping Foundation and Sens Foundation 2008 Just One Person Award, the Celebrity Sports Dinner’s 2008 Brian Kilrea Award, 2011 United Way Community Builder Award, the Ottawa Tourism’s 2006 Tourism Leader of the Year and the 2015 EY Entrepreneur of the Year Award for Community Service. Cyril has also been inducted into the Ottawa and Brockville Sports Hall of Fames.
Cyril resides in Ottawa with his wife, Lydia, and they have three children; Ciera, Dillon and Tyler.
Lori O’Neill, FCPA, FCA ICD.D is a corporate director and independent financial and governance consultant. Lori assists growth companies with strategic transactions, M&A, public offerings, and due diligence. She previously held a leadership role for over 24 years in one of the world’s leading professional services firms, including various national partnership roles, with a focus on advising growth companies from startups to multinationals, supporting complex transactions, private and public equity offerings, and mergers and acquisitions in Canada and the U.S.
Lori currently serves as a board member for Constellation Software Inc., Ontario Lottery and Gaming Corporation, Pythian Group, University of Ottawa Heart Institute and Ashbury College. Lori previously served as a board member and audit committee chair for a Federal crown corporation, a global publicly traded technology company, a national non-profit and is an advisory board member for the Dean of the Sprott School of Business in addition to several other roles and activities.
Lori graduated with a Bachelor of Commerce Highest Honours in 1988, achieved her CPA, CA designation (Ontario Honour Roll) in 1990, completed her CPA designation (Illinois) in 2003 and completed the ICD.D designation in 2012. In 2017, Lori was recognized by the Chartered Professional Accountants of Ontario as a Fellow, the highest distinction of the profession.
Lori was appointed to the Hydro Ottawa Holding Inc. Board on July 1, 2014, where she also serves on the Audit Committee and the Investment Review Committee.
Jenna Sudds was appointed to the Hydro Ottawa Holding Inc. Board of Directors on February 12, 2020. She was elected City Councillor for Kanata North on October 22, 2018, and worked as an economist in the Federal Government for twelve years before becoming the inaugural President and Executive Director of the Kanata North Business Association. In 2017, Jenna accepted the position of Executive Director at the CIO Strategy Council, a national Technology Council where she worked until taking office as Ottawa City Councillor for Kanata North in December 2018.
The Forty Under 40 Award (2015), Kanata North Citizen of the Year (2012-2013) and the 40 Under 40 International Economic Development Professional Award (2016) are just some of the awards Jenna has been presented with these past years.
Jenna has been a long-time volunteer with the Kanata Food Cupboard and the Ottawa Network for Education. She is the proud mother of three girls with her husband Tim. Her family is her inspiration and the reason she has and will continue to advocate for our communities and our City.
